ARTICLE I NAME AND INCORPORATION
Section 1. The name of this organization or congregation shall be "The Center for Spiritual Living of the North Coast" hereafter referred to as "CSLNC."
Section 2. The CSLNC shall be incorporated as a religious corporation under the laws of the State of Oregon.
ARTICLE II PURPOSE AND VISION
Section 1. This corporation shall be organized and operated exclusively for charitable, educational and religious purposes. The purposes of this corporation shall be to engage in any lawful activities, none of which are for profit, for which corporations may be organized under Chapter 65 of the Oregon Revised Statues (or its corresponding future provisions) and §501(c)(3) of the Internal Revenue Code of 1954 (or its corresponding future provisions).
Section 2. At the Center for Spiritual Living of the North Coast we come together in community to celebrate and cultivate spiritual living in everyday life. Our vision is to create an environment that is safe and sacred for self reflection and spiritual growth.
ARTICLE III MEMBERSHIP
Section 1. Membership of CSLNC shall be of two categories: active and associate.
Section 2. Active membership shall consist of those who attend and contribute to the Church.
Section 3. Associate membership shall consist of those who do not meet the qualifications of active membership.
ARTICLE IV THE BOARD
Section 1. The Board shall consist of seven members of the congregation: the Chair, the Vice Chair, the Secretary, Treasurer, and three members at-large of the congregation.
Section.2. The term of office of all members of the Board shall be two years. Three members of the Board shall be elected by the congregation in odd years and four shall be elected in even years.
Section 3. New Board members shall be elected annually. If a vacancy occurs on the Board for any office other than the Chair, the remaining Board members may appoint a member of the Church to fill the vacancy until the next Congregational Meeting. The Vice Chair shall assume the duties of Chair should that office be vacated. A member of the Board elected at a Congregational meeting to complete an unexpired term shall be considered to be serving a full term.
Section 4. The Board shall ordinarily meet regularly once-a-month on dates published in advance. A quorum of the Board shall consist of a majority of its members.
Section 5. Members of the Board shall not receive salaries for their Board services, but may be reimbursed for expenses related to Board service.
ARTICLE V DUTIES OF OFFICERS OF THE BOARD
Section 1. The Chair shall be the official representative of the Church, preside at all business meetings of the Congregation, preside at all Board meetings, call all meetings of the Congregation and the Board. The Chair sets the agenda for such meetings and presides over them but may vote only to cast the deciding vote in the event of a tie.
Section 2. The Vice Chair shall assist the Chair, preside at meetings in the absence of the Chair, carry out duties assigned by the Chair.
Section 3. The Secretary shall be the recording secretary and keep minutes and a faithful record of all meetings of the Board, the Annual Meeting of the Congregation, and any special meetings of the Congregation. All such minutes shall be submitted for approval at subsequent business meetings. The Secretary shall keep a register of all Church members, keep records of member baptisms, weddings, and deaths.
Section 4. The Treasurer shall keep the books of the church. The Treasurer shall collect and disburse the funds of the Congregation and shall assure that there are adequate and proper signatures for disbursing Church funds. The Treasurer shall counsel the Board in matters relating to the deposit, withdrawal, expenditure, and investment of all the funds of the Church. The Treasurer shall furnish the church Board and the Finance Committee monthly financial statements showing details of income, expenditures, current balances, and such other items as the Board and the finance Committee may require.
ARTICLE VI FINANCIAL PROCEDURES
Section 1. At the beginning of the year the Board shall construct a budget based on the previous years contributions to the church. The Board shall present this budget at the Annual Meeting of the Congregation for discussion and approval.
Section 2. The fiscal year shall be from January 1 through December 31.
ARTICLE VII MEETINGS OF THE CONGREGATION
Section 1. The Annual Meeting of the Congregation shall be held on the first Sunday of February. Annual reports of all officers, committees, and sponsored organizations for the preceding program year, January 1 through December 31, shall be presented at this meeting. Also, all vacant offices shall be filled in accordance with these Bylaws.
Section 2. Business may be transacted at the Annual Meeting or at any special meeting of the Congregation called by the Chair of the Board or by written request of ten percent of the active membership. Notice of any special meeting shall be announced from the platform during services on the three Sundays preceding the meeting.
Section 3. Those votes represented at a meeting of members shall constitute a quorum. A majority vote of the members represented and voting is the act of the membership.
Section 4. Unless otherwise stated in these Bylaws, Robert's Newly Revised Rules of Order shall apply in all Church meetings.
ARTICLE VIII COMMITTEES
Section 1. The Board shall have the responsibility of developing and maintaining standing and ad hoc committees. The Board shall also develop and maintain rules governing committees. It shall be recognized that standing committees will be maintained to represent the fabric, mission and vision of the Congregation.
Section 2. The following are the current committees: Worship, Set-up/Clean-up, Finance, Building and Grounds, Sound/Music, Education.
ARTICLE IX CORPORATE INDEMNITY
Section 1. This corporation will indemnify its officers and directors to the fullest extent allowed by Oregon law.
ARTICLE X AMENDMENTS
Section 1. These Bylaws may be amended or repealed, and new Bylaws adopted, by the Congregation by a majority vote of those present, at the Annual Meeting or at a special meeting. During the three Sunday services prior to the adoption of the amendment, the Congregation will be given notice of the date, time, and place of the special congregational meeting at which the proposed amendment is to be considered; and the notice shall state that one of the purposes of the meeting is to consider a proposed amendment to the Bylaws and shall contain a copy of the proposed amendment.
